These Terms of Service (hereinafter "ToS") govern the use of the UMAPLACE marketplace platform accessible at [Website URL] (hereinafter "the Platform"). By accessing or using the Platform, you unconditionally accept these ToS.

1. Definitions

"Platform" means the UMAPLACE website and all its features.
"Operator" means [Company Name], the company operating the Platform.
"User" means any person who accesses the Platform, whether registered or not.
"Buyer" means any registered User who makes or wishes to make a purchase on the Platform.
"Seller" means any registered User who offers products or services for sale on the Platform.

2. Purpose of the Platform

UMAPLACE is an online marketplace enabling the connection between Sellers and Buyers. The Platform provides Sellers with a space to present and sell their products and services, and Buyers with the opportunity to discover, compare and purchase these products and services. UMAPLACE acts as a technical intermediary and is not a party to transactions concluded between Sellers and Buyers.

3. Registration and User Account

Registration is open to any natural person of legal age (18 or older) or legal entity with legal capacity. To create an account, you must provide accurate, complete and up-to-date information.

You are responsible for the confidentiality of your login credentials. Any activity carried out from your account is deemed to have been done by you. You must immediately notify us of any unauthorized use of your account.

Sellers must also provide additional information (legal status, SIRET number, bank details via Stripe Connect) and accept the specific conditions applicable to Sellers.

4. Buyer Obligations

  • Provide accurate and complete delivery information; Make payment for orders within the specified timeframe; Comply with the return and refund conditions of each Seller; Not use the Platform for fraudulent purposes; Treat Sellers with respect in message exchanges

5. Seller Obligations

  • Provide accurate and honest descriptions of their products/services; Respect the displayed prices and announced sales conditions; Process orders within agreed timeframes; Comply with applicable legislation, particularly regarding consumer protection; Adhere to Platform content rules; Hold the necessary rights to published content (images, texts, trademarks); Respond to Buyer inquiries within a reasonable timeframe

6. Payments and Commissions

Payments are processed securely by Stripe. Buyers pay at the time of ordering. Funds are transferred to Sellers via Stripe Connect after delivery confirmation or according to defined conditions.

UMAPLACE charges a commission on each transaction made on the Platform. The applicable commission rate is communicated to Sellers upon registration and may be modified with 30 days' notice.

Refund requests are processed in accordance with the relevant Seller's return policy and applicable legal provisions, including the 14-day right of withdrawal for online purchases under the French Consumer Code.

7. Intellectual Property

All elements of the Platform (design, logo, texts, features, source code) are protected by intellectual property law and belong to UMAPLACE or its partners.

By publishing Content on the Platform, you grant UMAPLACE a non-exclusive, worldwide, royalty-free license to use, reproduce and display such Content in the context of operating the Platform.

Any unauthorized reproduction, representation or exploitation of all or part of the Platform is prohibited and constitutes counterfeiting punishable by law.

8. Prohibited Content

It is strictly prohibited to publish on the Platform:

  • Illegal or counterfeit products or services; Defamatory, insulting, discriminatory or hate-inciting content; Pornographic or violent content; Content infringing on the privacy of others; Malware or any form of spam; Any content infringing third-party intellectual property rights

9. Liability

As a technical intermediary, UMAPLACE implements reasonable means to ensure the proper functioning of the Platform. However, UMAPLACE cannot be held liable for:

  • Transactions concluded between Sellers and Buyers; The quality, conformity or availability of products/services offered by Sellers; Delivery delays attributable to carriers; Temporary Platform interruptions for maintenance; Damages resulting from fraudulent use of the Platform by a third party

10. Moderation and Sanctions

UMAPLACE reserves the right to moderate content published on the Platform and to remove any content contrary to these ToS. In case of breach of the ToS, UMAPLACE may take the following measures: warning, temporary account suspension, payment suspension, permanent account closure. These measures are taken proportionally and after notification to the user concerned.

11. Dispute Resolution

In case of dispute between a Buyer and a Seller, the parties are invited to attempt to resolve the dispute amicably. UMAPLACE may offer a mediation service to facilitate resolution.

In accordance with the provisions of the French Consumer Code, any consumer has the right to use a consumer mediator free of charge for the amicable resolution of the dispute. The competent mediator is: [Consumer Mediator Name].

Failing amicable resolution, disputes relating to these ToS shall be submitted to the competent courts of Paris, France.

12. Applicable Law

These ToS are governed by French law. Any provision of the ToS that is found to be invalid or unenforceable shall be deemed unwritten without affecting the validity of the remaining provisions.

You may terminate your account at any time from your profile settings or by contacting our customer service. Termination results in the deletion of your account and personal data in accordance with our Privacy Policy.

UMAPLACE reserves the right to modify these ToS at any time. Modifications take effect 30 days after notification to users. Continued use of the Platform after this period constitutes acceptance of the new ToS.
